The main target of graduation theses is to clarify conditions of foundation of the concrete business subject, based on current economic and legal conditions according current valid adjustment of legislative in Slovak republic. Limited liability company is a capital company what means, that by the own foundation is compulsory forming basic capital. Company can be founded also by only one person, but it can have maximally 50 partners, therefore is primary designed for relative smaller companies. Usually it is company, which is typical business subject for lower or middle demanding capital business. In dependence on number of promoters is company founded by partnership contract if the company is founded by more partners or by deed of foundation if the company founds only one partner. These both documents have to contain the same fundamental information in form business name, company domicile, partners definition, business subject, amount of basic capital and partners deposit, information about managing directors and members of advisory committee (if is committee needed), deposit administrator definition, amount of reserve fund, company foundation costs and other needed appropriateness. By signing of partnership contract leads to the foundation of the company and the company founds by the incorporation. Proposal for incorporation give and sign all managing directors of the company. After company foundation is needed registration at Tax Office and scheduling first general meeting. Basis of the company result from its name and so itself is responsible for the breach of the obligations with all its assets, but partner guarantee only till figure his unpaid deposit incorporated. In the present it is the most widespread business form.
