The diploma thesis presents current view of the issue of the rights and duties which shareholders have in the Slovak business environment or in the Czech Republic, and in European law. Rights and duties are the basic characteristic features of the relationship between shareholders and Joint Stock Company. The work consists of two thematic parts. In each, logically following subchapters, the work is devoted especially on the characteristics of the joint stock company, the definition of the shareholder's fundamental rights, the analysis of the shareholder's duties and after that comparison of rights and duties of shareholders in the Czech Republic. In the final part, work deals with the comparison between societas europaea and Joint Stock Company and also comparison of the protection of minority shareholders In connection with the timelessness of selected issues, and possible solution by laws amendments, can be considered as high actual topic. The aim of the diploma thesis is to analyze shareholder´s rights and duties, and compare them with the Czech and European regulations.
